Agreement of Public Products Authorized
Name of Party A: ZULUMANDINGO GROUP SL., Ltd
Name of Party B:
Party A and Party B have fully negotiated the basis and formulated the following provisions in accordance with the relevant laws and regulations such as the “Contract Law of SIERRA LEONE” for mutual compliance.
Article 1. The Limits of Authorized Products
From “www.Zulumandingo.com” site (Referred to as “ZM platform”) public products designed by artists.

Article 3. Sales Area :
Including and not limited to promotions and sales online and offline by public products. Party B shall engage in marketing and sales activities area is limited to the foreign platform (Amazon/eBay Platform /Prestashop e-commerce /** e-commerce /…), and shall not engage in the other area;
Article 4. The Rights and Responsibilities of Both Parties ：
(1)Party B can share/use/sell all public products by the artist on the ZULUMANDINGO platform;
(2)When the artist leaves or removes the public product from the ZULUMANDINGO platform, Party A shall remind Party B within three working days and give a 30-day buffer period to facilitate Party B to remove and deal with the relevant products and orders. If Party B has not stopped selling public products after more than 30 days are regarded as “Copyright products”, Party B shall compensate the artist for all losses, and all the consequences arising therefrom;
(3)Party B shall not smear/modify/intercept the public products by the artists; otherwise, it shall be regarded as “Copyright products”. Party B shall compensate the artist for all losses, including direct losses and indirect losses, all the consequences arising therefrom;
(4)Party B can business with the artist for long-term cooperation by the negotiation from the ZULUMANDINGO platform, but it cannot be traded privately. Otherwise, it is regarded as “Copyright products” and should compensate Party A for all losses, including direct and indirect losses, all the consequences arising therefrom;
(5)Party B can buy out the artist’s design/ artwork by the negotiation from the ZULUMANDINGO platform, but it cannot be traded privately. Otherwise, it is regarded as “Copyright products” and should compensate Party A for all losses, including direct and indirect losses, all the consequences arising therefrom;
(6)Party B has the rights for all the functions and services from the ZULUMANDINGO platform, but cannot transfer /sell to others. Otherwise, it is regarded as “Violation Operation” and should compensate Party A for all losses, including direct and indirect losses, all the consequences arising therefrom;
(7)If Party B violates the above agreements, Party A has the right to terminate the provision of services to Party B without declaration and has the right to file a claim with Party a, requesting Party B to pay a one-time penalty of USD 50,000.
Article 5. Modification, Cancellation, and Termination of the Agreement:
(1) If unresistable events (such as a war, an earthquake, etc.) occur during the performance of this agreement cannot be performed, it is not considered that both parties have breached the contract and the parties are not responsible for each other.
(2) In the event of a dispute arising from the performance of this agreement, the two parties will negotiate in good faith and if negotiation unsuccessful any party has the right to ask for help in the Sierra Leone court of Party A place.
Article 6. Other agreements:
This 2 License Agreement from Party A and Party B, shall each hold one copy and shall enter into force on the date of signature or seal of the last party, and shall have the same legal effect from on the date of signature or stamp signature.
